Terms & Conditions

These terms and conditions ("Agreement") govern the provision of software and hardware services by TD Academy Private Limited ("Company," "we," "us," or "our"). By engaging our services, you ("Client," "you," or "your") agree to these terms.

1. Services Provided

• Custom Software Development
• IT Support and Maintenance
• Network Setup and Maintenance
• Hardware Procurement
• System Integration

2. Service Agreement

• The scope of services will be agreed upon in a Service Level Agreement (SLA) or contract specific to each project.
• Modifications or additions to the agreed services must be requested in writing and may be subject to additional charges.
• The client must provide all necessary information and access required for the delivery of services.

3. Payment Terms

• All services will be billed as per the agreed contract or SLA.
• Invoices will be issued upon the completion of milestones or at pre-defined intervals.
• Payment is due within 30 days from the date of invoice unless otherwise agreed.
• Late payments may incur interest charges at a rate of 14% per month.

4. Ownership and Intellectual Property

• Ownership of all software, source code, and other deliverables will be transferred to the client upon full payment, unless otherwise specified.
• TD Academy retains the right to use non-confidential, generic portions of code or solutions developed for other projects.
• Any third-party software, tools, or licenses used in the project will be governed by the third- party's terms and conditions.

5. Confidentiality

• Both parties agree to keep confidential any proprietary information, trade secrets, or other sensitive data disclosed during the project.
• Confidential information will not be disclosed to third parties without prior written consent unless required by law.

6. Warranty and Support

• TD Academy offers a warranty period of 90 days from the delivery of software or hardware, during which any bugs or issues will be addressed free of charge.
• Post-warranty support can be provided under a separate maintenance contract.

7. Liability

• TD Academy will not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the delivered software or hardware.
• Our total liability under this Agreement shall not exceed the total amount paid by the Client for the services rendered.

8. Termination

• Either party may terminate the Agreement with 30 days' written notice.
• TD Academy reserves the right to terminate the agreement immediately if the client violates any terms, such as non-payment.
• Upon termination, all unpaid invoices will become immediately due, and any outstanding work will be billed accordingly.

9. Force Majeure

• TD Academy will not be held responsible for delays or failures to fulfil its obligations due to circumstances beyond its control, including but not limited to natural disasters, strikes, or governmental actions.

10. Governing Law

• This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising from this Agreement will be subject to the jurisdiction of the courts in Chennai.

11. Amendments

• TD Academy reserves the right to modify these terms at any time, and changes will be communicated to clients in advance.

12. Acceptance

• By signing or agreeing to a contract or SLA with TD Academy, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
